1. Agreement

These Terms govern your use of the Orbari website and any services we provide. By using this site or entering into an engagement with us, you agree to these Terms. If you act on behalf of a business, you represent that you're authorized to bind it ("you," "Client"). A signed Master Services Agreement and Statement of Work govern paid engagements; where they conflict with these Terms, they control for that engagement.

2. What we do

Orbari designs, builds, and operates automated software systems ("AI agents") that support a business's operations — for example, capturing leads, drafting outreach, organizing information, and reporting. Our systems propose; a human approves. Actions that reach a third party or aren't easily reversible (sending an email or message, publishing, contacting a customer) require human review and approval before they occur.

3. Using this website

The forms on this site collect the information you choose to give us (such as your name, email, company, and a description of your business) so we can respond and prepare for a call. Provide accurate information and don't submit content you're not authorized to share. Don't attempt to disrupt, misuse, or gain unauthorized access to the site.

4. Your accounts and AI keys (bring-your-own)

For paid engagements, unless your Statement of Work says otherwise, you provide and fund your own third-party accounts and AI provider API keys. We configure them under least-privilege access, solely to provide the services, within the permissions you grant. You're responsible for those providers' fees and terms, and you may revoke access at any time.

5. Your responsibilities and the approval model

You are responsible for reviewing and approving the actions our systems propose, and for the content you approve. You will use the services in compliance with applicable law and the terms of your connected apps — including, where you enable messaging or calling, consent, opt-out, and anti-spam requirements (e.g., TCPA, CAN-SPAM, carrier A2P/10DLC rules). You will not use the services to send unlawful, deceptive, or unsolicited communications.

6. Data and ownership

You own your data, your accounts, and your business content, and the systems and knowledge records we build specifically for you (yours to keep on full payment). Orbari owns its underlying frameworks, agent designs, templates, tooling, and improvements not specific to you. You grant us a limited license to process your data only to provide the services.

7. Fees

Fees, scope, and payment terms are set in your Statement of Work. Unless stated otherwise, fees are non-refundable for work performed. Your third-party costs (AI model usage, hosting, phone/voice, platform fees) are yours and are billed by those providers.

8. No guarantee of results

We provide tools and services, not a guaranteed business outcome. We do not warrant a specific number of leads, replies, bookings, sales, or revenue. AI output can be inaccurate; you are responsible for review before relying on or sending it.

9. Disclaimers

The site and services are provided "as is." Our outputs are assistance, not professional (legal, tax, accounting) advice, and may contain errors. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant uninterrupted or error-free operation of third-party services (models, platforms, APIs).

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data. Our total liability arising out of or relating to the services is limited to the amounts you paid us in the {{LIABILITY_MONTHS}} months before the claim. (Confirm cap with counsel.)

11. Indemnification

You will defend and indemnify Orbari against third-party claims arising from your data, your connected accounts, your use of the services, the communications or actions you approved, or your violation of these Terms or applicable law.

12. Term and termination

Either party may terminate an engagement per the Statement of Work or for material breach not timely cured. On termination, we hand over the paid-for deliverables and your data, and revoke connection tokens; your own apps, accounts, and data remain with you.

13. Changes

We may update these Terms; we'll post a new effective date and, for material changes, provide notice. Continued use after changes take effect means you accept them.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Exclusive venue is the state or federal courts in {{VENUE_COUNTY}} County, Texas. (Add arbitration/class-waiver per counsel.)
